Welcome to Ledger. These Terms of Service ("Terms") govern your access to and use of the Ledger web application and related services (collectively, the "Service") operated by Ledger App ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
By creating an account or using Ledger, you confirm that you are at least 18 years of age, have the legal authority to enter into these Terms, and agree to comply with all applicable laws and regulations. If you are using the Service on behalf of a business, you represent that you have authority to bind that business to these Terms.
2. Description of Service
Ledger is a mobile-first web application designed to help retail buyers capture, organize, and analyze vendor companies, contacts, products, pricing, size grids, and availability information at trade shows and beyond. The Service includes features such as photo and file uploads, AI-generated buying summaries, an availability calendar, and cloud data storage.
To access the Service, you must create an account using a supported authentication method. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at
[email protected] if you suspect any unauthorized use of your account. We reserve the right to terminate accounts that violate these Terms.
4. Subscription Plans and Billing
The Service is offered under the following plans:
- Free Tier: Allows up to 3 brands at no charge, with access to core features.
- Monthly Plan: $17.99 per month, billed monthly, providing unlimited access to all features.
- Annual Plan: $175.00 per year, billed annually, providing unlimited access to all features at a discounted rate.
All payments are processed securely through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis at the applicable rate. Prices are in US dollars and are subject to change with 30 days' notice. Applicable taxes may be added based on your location.
5. Cancellation and Refunds
You may cancel your subscription at any time through the billing management portal accessible within the Service. Upon cancellation, your subscription will remain active until the end of the current billing period. We do not provide prorated refunds for partial billing periods. If you believe you were charged in error, contact us at
[email protected] within 30 days of the charge and we will review your request.
You retain ownership of all content you upload or create within the Service, including product data, photos, files, and notes ("User Content"). By uploading User Content, you grant us a limited, non-exclusive license to store, process, and display your content solely to provide the Service to you. We do not sell, share, or use your User Content for any purpose other than operating the Service. You are solely responsible for ensuring that your User Content does not infringe on any third-party rights.
You agree not to use the Service to: (a) violate any applicable law or regulation; (b) upload malicious code, viruses, or harmful content; (c) attempt to gain unauthorized access to any part of the Service or its infrastructure; (d) scrape, copy, or redistribute Service content without our written permission; (e) impersonate any person or entity; or (f) use the Service in any manner that could damage, disable, or impair its operation.
The Service, including its design, code, trademarks, and content (excluding User Content), is owned by Ledger App and protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works from any part of the Service without our prior written consent. The Ledger name and logo are trademarks of Ledger App.
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. We collect and process personal data as described in the Privacy Policy. By using the Service, you consent to such collection and processing. We do not sell your personal data to third parties.
10. Data Storage and Security
We store your data using industry-standard cloud infrastructure with encryption in transit and at rest. While we take reasonable measures to protect your data, no method of transmission or storage is 100% secure. You are responsible for maintaining appropriate backups of critical information. We will notify you of any data breach affecting your account as required by applicable law.
The Service integrates with third-party services including Stripe (payment processing) and AI language model providers (for buying summaries). Your use of these third-party services is subject to their respective terms and privacy policies. We are not responsible for the practices or content of third-party services.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. AI-GENERATED SUMMARIES ARE PROVIDED FOR INFORMATIONAL PURPOSES ONLY AND DO NOT CONSTITUTE FINANCIAL, LEGAL, OR PROFESSIONAL BUYING ADVICE.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LEDGER APP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.
You agree to indemnify, defend, and hold harmless Ledger App and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Service, your User Content, or your violation of these Terms.
15. Modifications to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms within the Service and updating the effective date. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service.
We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
17. Governing Law and Dispute Resolution
These Terms are governed by the laws of the United States and the state in which Ledger App is incorporated, without regard to conflict of law principles. Any disputes arising under these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration under the rules of the American Arbitration Association, conducted in English. You waive any right to participate in class-action lawsuits or class-wide arbitration.
